Terms That Never Go Bad!
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and TraceLot (“Company,” “we,” “us,” or “our”) regarding your use of the TraceLot inventory management and expiration tracking software and related services (the “Service”). By accessing or using our Service, you agree to be bound by these Terms. If you don’t agree to these Terms, please don’t use our Service— we’d hate for your experience to expire before it begins!
1. Agreement to Terms (Fresh Start!)
Consider this your fresh start with TraceLot! These Terms are like a best-by date— they’re here to ensure everything stays fresh and everyone knows what to expect.
2. Description of Service (What’s On the Label!)
TraceLot is a specialized inventory management software that integrates with Veeqo to provide advanced batch tracking and expiration date monitoring for retailers and online companies. Our Service includes:
- Batch number assignment and tracking (we never lose track!)
- Expiration date monitoring and alerts (because nobody likes surprises past their prime!)
- Integration with Veeqo inventory management systems
- Automated notification systems (fresher than morning coffee!)
- Reporting and analytics tools
- Multi-location inventory tracking
3. Eligibility and Account Registration (Check Your Credentials!)
3.1 Eligibility
- You must be at least 18 years old to use our Service (no expiration date on this requirement!)
- You must have the legal authority to enter into this agreement
- Your use must comply with all applicable laws and regulations
3.2 Account Registration
- You must create an account with accurate, complete, and current information (keep it fresh!)
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately of any unauthorized access to your account
- You may not share your account credentials or allow others to access your account
3.3 Veeqo Integration Requirement
- Use of our Service requires an active Veeqo account (they’re our partners in keeping things fresh!)
- You must authorize TraceLot to access your Veeqo inventory data
- You are responsible for maintaining your Veeqo account in good standing
4. Acceptable Use (Keep It Fresh!)
4.1 Permitted Use
You may use our Service for legitimate business purposes in accordance with these Terms and applicable laws—keeping your inventory management fresh and legal!
4.2 Prohibited Use
You may not (these activities have expired!):
- Use the Service for any illegal or unauthorized purpose
- Violate any laws, regulations, or third-party rights
- Attempt to gain unauthorized access to our systems or other users’ accounts
- Interfere with or disrupt the Service or servers/networks connected to the Service
- Upload or transmit viruses, malware, or other harmful code
- Use the Service to spam, harass, or abuse others (that behavior is way past its expiration date!)
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove, alter, or obscure any proprietary notices or labels
5. Subscription Plans and Billing (Investment That Keeps Giving!)
5.1 Subscription Plans
We offer various subscription plans with different features and pricing. Current plans and pricing are available on our website—all guaranteed fresh!
5.2 Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as expressly stated in these Terms
- You authorize us to charge your designated payment method for all applicable fees
- We may update pricing with 30 days’ notice to existing subscribers (no surprise expiration dates!)
5.3 Payment Methods
We accept major credit cards and other payment methods as specified on our website. You must provide current, complete, and accurate billing information (keep it fresh!). You are responsible for all charges incurred under your account.
5.4 Late Payment and Account Suspension
We may suspend your account for non-payment after reasonable notice. Suspended accounts may be terminated if payment is not received within 30 days. We may charge fees for failed payment attempts or account reinstatement.
6. Intellectual Property Rights (Our Freshest Assets!)
6.1 Our Intellectual Property
TraceLot and our Service, including all software, content, and materials, are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription period. All rights not expressly granted are reserved by us (they never expire!).
6.2 Your Content
You retain ownership of your business data and content uploaded to our Service. You grant us a limited license to use your content to provide the Service. You represent that you have the right to upload and use all content on our Service.
6.3 Feedback
Any feedback, suggestions, or improvements you provide may be used by us without compensation. We may incorporate your feedback into our Service without attribution (your ideas help keep us fresh!).
7. Data and Privacy (Handled with Care, Never Expired!)
7.1 Data Processing
We process your data in accordance with our Privacy Policy. You consent to our collection, use, and processing of data as described in our Privacy Policy. We implement reasonable security measures to protect your data (keeping it fresh and secure!).
7.2 Data Accuracy
You are responsible for the accuracy and completeness of data you provide. We are not responsible for errors or issues arising from inaccurate data. You should regularly backup your important data (keep those backups fresh!).
7.3 Veeqo Data Integration
Our Service accesses and processes data from your Veeqo account. You are responsible for managing permissions and access to your Veeqo account. We are not responsible for issues arising from Veeqo’s service or data.
8. Service Availability and Support (Always Fresh Support!)
8.1 Service Availability
We strive to maintain high Service availability but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible. We are not liable for downtime or service interruptions (but we’ll work hard to keep things running fresh!).
8.2 Customer Support
We provide customer support via email and other channels as specified on our website. Support response times vary by subscription plan (but our commitment to help never expires!). We reserve the right to limit support for users who violate these Terms.
8.3 Service Updates
We may update, modify, or discontinue features of our Service at any time (keeping things fresh!). We will provide reasonable notice of material changes when possible. Continued use of the Service constitutes acceptance of updates.
9. Termination (When Things Reach Their End Date)
9.1 Termination by You
You may terminate your account at any time by following the cancellation process on our website. Termination must be completed through our official cancellation process. No refunds will be provided for prepaid subscription periods unless required by law.
9.2 Termination by Us
We may terminate or suspend your account immediately if (these behaviors have expired!): You violate these Terms or our policies; Your account is used for fraudulent or illegal activities; You fail to pay applicable fees; Your actions harm or may harm our Service or other users.
9.3 Effect of Termination
Upon termination, your access to the Service will cease. We may delete your account data after a reasonable retention period. Provisions that should survive termination will remain in effect.
10. Disclaimers and Warranties (The Fine Print That Never Expires!)
10.1 Service Disclaimer
Our Service is provided “as-is” and “as-available” (fresh as we can make it!). We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose. We do not warrant that the Service will be error-free, secure, or continuously available.
10.2 Third-Party Services
Our Service integrates with third-party services like Veeqo. We are not responsible for the availability, accuracy, or functionality of third-party services. Your use of third-party services is subject to their respective terms and policies.
10.3 Data Accuracy
We do not guarantee the accuracy, completeness, or reliability of data processed through our Service. Users are responsible for verifying the accuracy of expiration dates and inventory information (double-check those dates!). Critical business decisions should not rely solely on our Service without independent verification.
11. Limitation of Liability (Keeping Things Reasonable!)
11.1 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW: Our total liability shall not exceed the fees you paid to us in the 12 months preceding the claim. We shall not be liable for indirect, consequential, special, or punitive damages. This includes damages for lost profits, data loss, business interruption, or other commercial losses.
11.2 Essential Business Functions
Our Service is designed to assist with inventory management but should not be your sole method of tracking expiration dates (backup plans never expire!). You remain responsible for implementing appropriate business processes and controls. Critical expiration tracking should be verified through multiple methods.
12. Indemnification (Protecting Each Other!)
You agree to indemnify, defend, and hold harmless TraceLot and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of applicable laws or regulations
13. Force Majeure (When Things Beyond Our Control Expire!)
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet service failures.
14. Governing Law and Dispute Resolution (Legal Framework That Doesn’t Expire!)
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Kentucky, USA, without regard to conflict of law principles.
14.2 Dispute Resolution
Any disputes arising under these Terms shall be resolved through binding arbitration. Arbitration shall be conducted under the rules of the American Arbitration Association. The arbitration shall take place in Louisville, KY. Each party shall bear their own costs and attorneys’ fees.
14.3 Class Action Waiver
You waive any right to participate in class-action lawsuits or class-wide arbitration against us.
15. Modifications to Terms (Keeping Up With the Times!)
15.1 Updates
We may modify these Terms at any time by posting updated Terms on our website and providing notice to users (keeping our terms fresh and current!).
15.2 Notice
Material changes will be communicated via email or through our Service. Continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to modifications, you may terminate your account.
16. General Provisions (The Essentials That Never Expire!)
These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and TraceLot.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Our failure to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision.
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.
